Due to the YCH nature of this commission, we can only accept:

• ✅ Human

• ✅ Humanoid (animal parts are OK!)

• After payment, please allow for delivery to take up to 3 months - the exact ETA depends on the queue.

• This model is made using a template / existing base. Despite this, we always do our best to make your model feel unique - the template allows us to get the basics down faster, and instead focus on the important parts of your model! Hair and clothing are fully custom. Slight alterations will be made to the face to fit your character/design!

• Complex designs will be simplified to fit the chibi style.

• Make sure to provide clear references of your character! We need at least a full-body reference to work with.

• Please have your DMs open so we can get in contact with you!

This agreement is between OOGA! Studios and you (the "Client").

The Client is hiring the Artist for a Chibi YCH Model commission (the model to be referred to as the "Work"), further described in this agreement.

GENERAL

1. The Client understands that the nature of the Work is YCH (Your Character Here). This means that the Work will be made to the same base as the provided samples. Because of this, major changes (such as major changes to the pose, head/body angles, face and art style) are outside of the scope of the project. OOGA! Studios retains the right to refuse such changes, OR to comply and request the Client to pay an additional fee however OOGA! Studios sees fit.

2. The Work will be delivered as a .moc3 file, which is a runtime file that can be loaded into VTubing software such as VTube Studio. The (editable) Live2D project files (.cmo3) will not the given to the Client for this type of commission.

PAYMENTS

The Client is expected to pay OOGA! Studios in full upfront. OOGA! Studios will not start on the Work until full payment has been made.

TIMELINE

After the commission has been confirmed and paid for in full, this is the commission timeline:

REVISIONS

1. As outlined in the timeline, there are set revision moments.

2. At the start of a revision moment, OOGA! Studios will provide all files that the Client is expected to inspect.

3. The Client is expected to provide their feedback in one go, either in a long message or a document. Please make sure that the feedback is complete!

4. OOGA! Studios will incorporate the feedback into the Work and will continue onto the next stage immediately.

5. After a revision moment, no changes can be made to previous stages of which the revision moment has already been past.

6. If during a revision moment the Client does not reply within 1 month, OOGA! Studios has the right to continue onto the next stage. The revision moment will be past. (Please check your VGen frequently!)

7. OOGA! Studios retains the right to refuse further revisions (and move on to the next stage) if the amount or severity of the revisions pushes the Work far outside of a reasonable project scope for this type of commission.

DEADLINES

The delivery is estimated to take 1-3 months from the moment the Work has been paid for in full.

The hard deadline is 6 months from the moment of payment.

USAGE RIGHTS

1. The Client owns commercial rights to the Work. This includes stream and content creation usage.

2. The Client does NOT own merchandising rights to the Work. Selling merchandise of the Work is strictly forbidden. The only exception to this rule is clipping the Work into emotes to be used on Twitch/Youtube (but NOT to put those emotes up for further sale).

3. Modification or tracing of the Work for commercial use (by anyone other than OOGA! Studios) is not allowed.

4. The Client will make an attempt to credit OOGA! Studios in an easy-to-find place for any viewers of the Client's content.

5. OOGA! Studios has full rights to use the Work for portfolio purposes. This extends to the right to showcase the Work during the creation process. If the Client wishes for the Work to remain secret before a specified date, the resulting NDA will overrule this right until that date and a privacy fee will apply.

6. Using the Work for AI training, or NFT-related purposes is not allowed.

7. Reselling the Work is not allowed, unless explicit permission has been given by OOGA! Studios.

INTELLECTUAL PROPERTY RIGHTS

The intellectual property rights pertaining to the creation of the Work will belong to OOGA! Studios. The intellectual property rights of the character, and any reference images provided by the Client, will remain with their respective owners.

REFUNDS

There will be no refunds, except in the following circumstances:

1. OOGA! Studios has not started on the Work yet and it has been at least 60 days since the Work was paid for in full.

2. OOGA! Studios cancels the commission for reasons relating to OOGA! Studios their inability to finish the Work in the alotted timeframe, or for misbehaviour on the part of the Client.

3. If the Work has not been delivered after 6 months, a partial refund can be issued proportional to the progress on the Work.

COMMUNICATION

Communications will be strictly through e-mail or our private Discord server. These are the OOGA! Studios communication platform of choice, to keep the Work organized. The Discord will be between the Client and OOGA! Studios. The Client will receive a private channel in which can be directly communicated with OOGA! Studios. The Client is unable to see any other customers, nor is the Client visible to any other customer to protect their privacy. Under rare circumstances, if the Client may very much wish so, communications can take place on Twitter DMs or E-Mail.

CLARITY

If unsure about the Terms of Service, the Client promises to ask OOGA! Studios for clarification.
